Terms of Service

These Terms of Service (the "Terms") govern your use of the NeoMeme mobile app and website (the "Service"), operated by NeoMeme ("NeoMeme", "we", "us"). The publisher's legal details are in the Legal notice.

By creating an account or using the Service you accept these Terms, the Community Guidelines and the Privacy Policy. If you do not agree, do not use the Service.

1. What NeoMeme is

NeoMeme is a social network for memecoin traders. Users can follow accounts, like, repost and comment. Verified creators can publish posts and run channels.

NeoMeme is an information and discussion platform only. NeoMeme does not provide trading, brokerage, custody, wallets or exchange services and never holds users' crypto-assets. Paid features are paid directly from the buyer's own wallet (see section 12).

2. Not financial advice

Content on NeoMeme is published by users and is for information and entertainment only. Nothing on the Service is financial, investment, legal or tax advice, or a recommendation to buy or sell any asset.

Memecoins are highly speculative and volatile. You may lose all the money you invest. You are solely responsible for your decisions. Always do your own research.

3. Eligibility

You must be at least 18 years old and legally able to enter into these Terms. By signing up you confirm that you are 18 or older.

You may not use the Service if you have previously been banned from it, or where using it would break the law that applies to you.

4. Your account

You must provide a valid email address and choose a username. Usernames that impersonate other people, brands or projects, or that are offensive, may be changed or removed.

Keep your password secure. You are responsible for all activity on your account. Tell us immediately at neomeme.app@gmail.com if you think your account has been compromised.

One person may not run accounts designed to manipulate engagement (bots, fake followers, coordinated networks).

5. Creators

Publishing posts and creating channels is reserved for creator accounts. Creator access is granted by invitation code, by the NeoMeme Creator subscription or by NeoMeme directly. We may refuse or remove creator status at our discretion, in particular in case of scams, manipulation or breaches of these Terms.

Creators must clearly disclose any paid, sponsored or otherwise compensated content about a token or project, using the "Sponsored" label available when posting, and must comply with the laws that apply to them, including rules on the promotion of crypto-assets and on commercial influence (in France, law no. 2023-451 of 9 June 2023).

Creators are solely responsible for what they publish in their posts and channels, including any information about tokens.

6. Channels

Creators can open public channels (anyone can join) and private channels (members are approved by the owner or join through an invite link). The channel owner may appoint admins who can post, delete messages, approve members and create invite links. Owners are responsible for their admins.

Invite links are personal and single use. Do not sell or publish them.

Paid channels: a creator can set a monthly price for a private channel. The member pays the creator directly, in the same blockchain transaction NeoMeme keeps its commission (15% by default; a different rate may be agreed with a creator). Access lasts 30 days from payment and can be renewed; there is no automatic renewal. The creator is solely responsible for the content and promises of their channel and for declaring their own income.

Members invited for free with an invite link get access without paying.

7. Your content

You keep all rights to the content you post (text, images, links). You grant NeoMeme a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display and distribute your content, only to operate, improve and promote the Service. This licence ends when you delete the content or your account, except for copies that other users have reposted or that we must keep by law.

You confirm that you have the rights needed for everything you post and that it does not infringe anyone's rights.

Public posts and profiles can be seen by anyone, including people without an account.

8. Rules and zero tolerance

You must follow the Community Guidelines. NeoMeme has zero tolerance for objectionable content and abusive users. In particular it is forbidden to post or send:

• scams, phishing, wallet drainers, fake airdrops or giveaways, or requests for seed phrases or private keys;
• market manipulation, coordinated pump-and-dumps or undisclosed paid promotion;
• illegal content, hate speech, harassment, threats, violent or sexual content, or content involving minors;
• other people's private information, impersonation, spam, malware or automated posting;
• raw token contract addresses or links to platforms that are not allowed (the app blocks them automatically).

9. Moderation

Anyone can report a post, comment or profile in the app (⋯ → Report) or by email at neomeme.app@gmail.com. We review reports, and we aim to act on reports of objectionable content within 24 hours.

We may remove content, limit features, remove creator status, suspend or permanently ban accounts that break these Terms or the law. When we do, we tell the user what was removed and why, unless the law prevents us or the account is clearly abusive (spam, bots).

You can contest any moderation decision within 6 months by writing to neomeme.app@gmail.com with the subject "Appeal". A person (not an automated system) reviews every appeal and we reply with our decision. You may also use an out-of-court dispute settlement body certified under the EU Digital Services Act, or go to court.

Some protections are automatic: the app blocks raw token addresses and links to non-approved platforms. You can always rephrase your post.

10. Blocking and safety

You can block any account. Blocked accounts can't follow you, can't see your content in their feed and can't join your channels.

Never share your seed phrase or private keys. NeoMeme will never ask for them.

11. Third-party platforms

Posts may link to third-party platforms (for example X, DexScreener, Pump.fun, FOMO, Solscan). These services are not operated by NeoMeme. We are not responsible for their content, services, fees or losses you may suffer there. Their own terms apply.

In the future, some links may be partner or referral links. If so, this will be disclosed in the app. Trading platforms never pay to have a token promoted.

12. Price and payments

Using NeoMeme as a regular user is free. Paid features are: the NeoMeme Creator subscription (monthly or yearly), access to paid private channels, sponsored coins and profile boosts. Prices are always shown before payment and may change for future purchases.

Payment is made in USDC or SOL on the Solana blockchain, from a wallet you control (for example Phantom), which you approve yourself. NeoMeme never has access to your wallet. Network fees are paid by the buyer. Prices in SOL are converted at the live price when the payment is created.

Access starts as soon as the payment is confirmed on the blockchain. There is no automatic renewal: you extend when you want.

Right of withdrawal: because the digital service starts immediately at your express request, you acknowledge that you lose your right of withdrawal once access is granted (French Consumer Code, art. L221-28). Blockchain payments cannot be reversed; payments are non-refundable except where the law requires it or in case of an error on our side. Where payments must be made through Apple or Google in their apps, their own terms and prices apply.

Paid features are not available for purchase in the iPhone (iOS) app. On iPhone, NeoMeme is a free social app; features bought elsewhere stay available on your account.

12 bis. Sponsored coins and boosts

Verified creators can sponsor a Solana coin or boost their profile for a set period. Sponsored content is always clearly labelled "Sponsored" or "Promoted" with the name of the account that paid, and is kept separate from organic trending, which is never sold.

Before a coin goes live we automatically check that new tokens can no longer be minted and wallets can no longer be frozen. A sponsorship is stopped automatically if the coin's price or liquidity collapses, and NeoMeme may stop any promotion that breaks these Terms or the law. These checks do not make a coin safe: a sponsorship is not a recommendation or an endorsement, and is not financial advice.

The buyer is responsible for the promoted coin and for complying with the rules on crypto-asset marketing that apply to them. A promotion stopped for a rug, a scam or a breach of these Terms is not refunded.

13. Deleting your account

You can delete your account at any time in Settings → Delete account, or by writing to neomeme.app@gmail.com. This permanently deletes your profile, posts, comments, likes, follows, channels and photos.

We may suspend or close accounts that break these Terms, as described in section 9.

14. Availability and changes

The Service is provided "as is" and may change, be interrupted or stop. We may update these Terms. If a change is important, we will tell you in the app before it applies. If you keep using the Service after that, you accept the new Terms.

15. Liability

To the extent permitted by law, NeoMeme is not liable for trading or investment losses, for content published by users, for third-party platforms, or for indirect damages. Nothing in these Terms limits liability that cannot be limited by law, including for gross negligence, wilful misconduct, or your rights as a consumer.

16. Law and disputes

These Terms are governed by French law. If you are a consumer, you also keep the protection of the mandatory rules of the country where you live. Before going to court, please contact us at neomeme.app@gmail.com so we can try to solve the problem. Consumers may also use a consumer mediator.
